1. About these terms
These Terms of Service govern your access to and use of the Ballot Yard platform. By using the platform, you agree to be bound by these Terms and our Acceptable Use Policy. If you do not agree, do not use the platform.
2. Eligibility
The platform is available to approved organizations only. You represent that you are authorized to bind your organization to these Terms.
3. Lessee compliance responsibility
You are solely and exclusively responsible for compliance with all applicable law in connection with your use of the platform and all content you serve through it. This includes without limitation: FEC regulations and disclosure requirements, state and local campaign finance law, FARA, defamation law, copyright law, and all other applicable laws and regulations. Ballot Yard provides no compliance guidance, legal review, or certification. Do not rely on Ballot Yard for legal compliance of any kind.
4. Content
You are solely responsible for all content you submit and serve through the platform. Ballot Yard’s pre-activation review is a basic AUP check only and does not constitute legal clearance or editorial approval.
5. Disclaimer of warranties
THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. BALLOT YARD MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
6. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BALLOT YARD’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM USE OF THE PLATFORM IS LIMITED TO THE AMOUNT YOU PAID FOR THE RELEVANT LEASE IN THE 30-DAY PERIOD PRECEDING THE CLAIM. BALLOT YARD IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
7. Indemnification
You agree to indemnify, defend, and hold harmless Ballot Yard and its officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including legal fees) arising from your use of the platform, your content, or your violation of these Terms or any applicable law.
8. Governing law
These Terms are governed by the laws of the State of Delaware without regard to conflict of law principles.
